By accessing or using our Services, you confirm that you are at least 13 years of age (or the applicable age of consent in your jurisdiction) and that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

AdMediaPixeel LLC develops, publishes, and maintains mobile applications available through the Apple App Store and other distribution platforms. Our Services may include, but are not limited to:

  • Mobile applications across various categories including productivity, utilities, lifestyle, and entertainment.
  • In-app features, content, and functionality provided within our applications.
  • Customer support and technical assistance related to our applications.
  • Our corporate website and related online properties.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. User Accounts

Some of our Services may require you to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate and current.
  • Maintain the security and confidentiality of your account credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or in violation of these Terms.

4. Purchases and Subscriptions

Our applications may offer in-app purchases, subscriptions, or premium features. All purchases made through the Apple App Store are subject to Apple's terms and conditions, including Apple's refund policies. By making a purchase, you agree to the following:

  • All prices are displayed in the applicable currency and may vary by region.
  • Subscriptions will automatically renew at the end of each billing period unless canceled before the renewal date.
  • You can manage and cancel your subscriptions through your Apple ID account settings.
  • Refunds for purchases made through the App Store are handled by Apple in accordance with their refund policy.
  • We reserve the right to change pricing for our products and subscriptions. Price changes will not affect active subscription periods.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with these Terms. You agree not to:

  • Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure.
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our applications.
  • Copy, modify, distribute, or create derivative works based on our Services or content.
  • Use automated tools, bots, scrapers, or similar technology to access or interact with our Services.
  • Upload or transmit viruses, malware, or any other harmful code.
  • Use the Services to send spam, unsolicited communications, or engage in fraudulent activity.
  • Violate any applicable local, state, national, or international law or regulation.

6. Intellectual Property

All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, images, audio, video, software, and code — are the exclusive property of AdMediaPixeel LLC or our licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use our Services for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

  • Modify or make derivative works based on the Services.
  • Use any data mining, robots, or similar data gathering tools.
  • Download any portion of the Services (other than page caching) unless expressly permitted.
  • Use the Services or any content for any commercial purpose without our written consent.

7. User Content

If our Services allow you to submit, post, or share content ("User Content"), you retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third-party rights or applicable laws.

8. Privacy

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to the practices described in our Privacy Policy.

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • Our Services will be uninterrupted, secure, or error-free.
  • The results obtained from using our Services will be accurate or reliable.
  • Any errors or defects in our Services will be corrected.
  • Our Services will be compatible with all devices or operating system versions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADMEDIAPIXEL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OUR SERVICES EXCEED THE AMOUNT YOU PAID TO US, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless AdMediaPixeel LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to our Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any User Content you submit through our Services.

13. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your license to use our Services will immediately cease.
  • You must stop all use of our Services and delete any downloaded applications.
  • Sections of these Terms that by their nature should survive termination will continue to apply.

You may terminate your use of our Services at any time by uninstalling our applications and ceasing to access our website and other properties.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration in connection with any dispute arising under these Terms.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us in connection with the Services, constitute the entire agreement between you and AdMediaPixeel LLC regarding your use of our Services. They supersede any prior agreements or understandings, whether written or oral.
